Overview
The Senior Attorney will support CB&I business development and project execution as part of the Legal function, including transactional work. The successful applicant will also work independently, communicate clearly at all levels of the organization, and provide prompt, commercially driven legal advice to the business, requiring advanced knowledge of EPC contracting.Â
This position is an Individual Contributor role. The role directly reports to the Director, Legal and routinely interacts with Sales, Supply Chain, Operations and Finance.
Responsibilities
- Working closely with colleagues in Sales, Estimating, Engineering and Operations to review requests for Proposal/Quotation, preparing contract deviations and conducting negotiations for new opportunities, which includes reviewing engineering services and EPC agreements.
- Advising, reviewing, and negotiating MOUs, letters of intent, pre-bid agreements, confidentiality agreements and other ancillary agreements.
- Advising Sales teams on legal questions arising from company pre-qualification submissions.
- Ensuring project contracts appropriately manage risks and are consistent with CB&I’s strategy, contracting standards and other CB&I policies.
- Assessing governing laws, including facilitating, understanding, and applying specialized legal advice from outside counsel as needed.
- Advising on and review of letters of credit, bank guarantees and parent company guarantees.
- Working closely with project managers on project execution issues, such as change orders, claims, disputes and closeout activities.
- Providing legal support to Supply Chain on supply/services subcontracts and purchase orders.
- Providing advice, counsel and training on compliance and regulatory policies and matters as they arise, coordinating with compliance counsel on matters requiring specialized legal support.
- Assisting with corporate housekeeping matters like setting up, governance or close out of entities.
- Providing legal support to CB&I’s operations and offices, including real estate agreements, non-project procurement and country entry/exit activities.
- Participating in management review meetings and departmental meetings and initiatives.
- Participating in non-legal initiatives in areas such as safety, well-being, diversity & inclusion, and sustainability.
Local Requirements
- Licensed to practice law in a U.S. state.
- Spanish language fluency is strongly preferred.
Qualifications
- Juris Doctorate
- Licensed to practice law in required area of remit.
- 5-10 years of legal experience, including at least 5 years of experience reviewing and negotiating EPC contracts, preferably in the energy sector.
- Ability to travel occasionally to project sites and CB&I or other offices.
