Pansophic Learning is seeking a senior attorney to join the legal team of a dynamic, high-growth international education company as a Deputy General Counsel. Reporting to the Chief Operating Officer, the Deputy General Counsel will be primarily responsible for managing the company’s legal function and serving as a strategic legal partner to the business.
Job Duties:
- Advise executives and business leaders on legal risks and business decisions.
- Translate complex legal issues into practical recommendations.
- Partner with HR, Finance, Operations, Product, and other departments.
- Review, negotiate, and approve major commercial agreements.
- Oversee contract templates and legal contracting processes.
- Help negotiate high-value or high-risk vendor, customer, partnership, and employment agreements.
- Advise on employment laws, employee relations, investigations, compensation, and terminations.
- Partner with HR on employment litigation and regulatory compliance.
- Review policies and employment-related agreements.
- Develop and oversee corporate compliance programs.
- Identify legal and regulatory risks.
- Monitor changes in laws that affect the organization.
- Help establish policies, controls, and training to reduce legal exposure.
- Manage outside counsel on lawsuits, claims, investigations, and disputes.
- Develop litigation strategy and oversee legal spend.
- Advise leadership on settlement and risk decisions.
- Participate in executive-level decision-making.
- Anticipate legal issues before they become problems.
- Balance legal risk with the company's operational and financial goals.
- Other duties as assigned.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in at least one U.S. state and in good standing.
- 8–12+ years of progressively responsible legal experience, preferably including substantial in-house counsel experience.
- Demonstrated experience providing strategic legal counsel to senior executives and business leaders.
- Strong knowledge and experience in corporate/commercial law, contracts, regulatory compliance, risk management, and other relevant areas of law.
- Proven ability to manage complex legal matters, including litigation, investigations, disputes, and regulatory matters.
- Demonstrated ability to identify and assess legal risks and provide practical, business-oriented recommendations.
- Strong contract drafting, negotiation, and legal analysis skills.
- Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly to non-legal audiences.
- Exceptional judgment, discretion, integrity, and problem-solving skills.
- Demonstrated leadership experience, including the ability to manage, mentor, and develop attorneys and other legal professionals.
- Ability to effectively manage multiple priorities in a fast-paced, complex business environment.
